Is it worth upgrading from a phenom x4 965 Black edition to a i7 4770K?
I have a GTX 770 and almost feel like the cpu might be bottlenecking it?

It'll be more like a diagonal upgrade. As in, not quite a side-grade, but not really an big upgrade. Your' gpu may give you better performance if you upgrade it...
What are your' specs? If you want your' best performance per dollar.
Either FX8320 or i5 4670/K
or FX-8350 but if you're mostly gonna do gaming then i5 4670K would be a good choice.

Well, if a Haswell i7 isn't enough for ya. Just pony up for for an i7 Extreme.

I think the real question has to be is it worth it to upgrade the CPU, Motherboard, and possibly RAM as well......just to upgrade the CPU. I think many offering up Intel upgrades are dismissing the fact he will have to do just that. If his motherboard will support more powerful AMD cpus maybe it could be worth it.
My thought is unless you have money to burn that CPU can still run games just fine. It is very overclockable as well if you are into that.
So i went with the FX 8350, is it going to work with this PSU?
It says "compatible with..." and lists all these cpu's but not FX

Xeons are identical to non k models as far as gaming is concerned.
if ur a video or photo or music editor, u will notice, BIG TIME. Gaming will be better too but not in the ways u might imagine.
CPU's have really stalled as far as performance goes. Nothing big since Sandy Bridge.
Again...you'll maybe notice a slight difference in some games, but it won't be big. As mentioned, you'll have to weight a slight improvement (somebody mentioned you'd eventually notice a huge difference...doubtful) against spending money on the cpu/mb/ram. And another install of your os and programs.
If you have the money and time to spare...do it. If not, don't worry about it. Your money could be better spent elsewhere potentially...specs?

It should. I would also add 4GB more of ram to your computer.
@Mikedogg05: If you use Nvidia Shadowplay for streaming then CPU is really not that important anyway, since the encoding part is done by the GPU. But you'll still notice a general improvement, only thing I'd suggest besides more RAM is an SSD. It won't provide a higher FPS count in games but it will make a huge difference in general computing.
Thanks everyone, yeah RAM was next on my to-upgrade list, and i've also been thinking about the SSD. I couldnt get shadowplay to toggle with my hotkeys so i tried Open Broadcast Software out for streaming and that was working for me, but i want to get as many frames as i can. Dont have the money for SLI at the moment.
Phenom II while still decent they starting to show their age in a few games paired with a high end Gpu so yea worth it. If you have a better GPU than Gtx660/7870 like you with gtx770 then you will see big gains in cpu bound games ( such as BF multiplayer, Crysis 3 etc ).
Heck in Battlefield 3 my Gpu usage drops to 75-80% on large maps and that is only with an overclocked 7850 ( granted in most games i dont see a cpu bottleneck but battlefield is a game that phenom II shows its age )
I'm gonna do the same in a couple of months ( waiting some price drops on i5's )
Make sure that cpu is compatible with your motherboards bios version, I would go to the mobo/website and check for the latest download version for your specific model. If it's not the latest version, download it and update the bios. There are tons of videos on you tube to show you how to do this if you haven't done it yet.

I doubt you would be saying that after running Battlefield 4 on it (assuming you are referring to the AMD Phenom) I ran the beta on mine and it stuttered like crazy. I knew it was the CPU because I noticed all 4 cores were maxed out in Task Manager. I ran it with 8GB RAM and GTX 570 at medium settings

Either because it was beta, your PC is not optimized, or you are trying to run it at greater than 1080. I have the same setup as you (Phenom 965) and generally can run anything at max or near max at 1080 res with no issues at all....this guy has a 770.
