The fish feed on tiny particles in the ocean. The main predators of fish back then were other, larger fish. So one day, a fish would have been born with, say, slightly stronger fins than it's siblings. This fish would be able to prop itself up on it's strong fins in the shallows, enabling it to not only gain access to plentiful food supplies, but also to evade predators easily. For this reason, it would be stronger, healthier than the other fish. It mates with another fish. Of the many offspring, a few would have inherited the strong fins. This would pass on through the generations, until the fish are strong enough to move onto land.
Time passes, the fish are now living in the shallows. One day, a fish is born with slightly different gills to it's fellows, more adapted to the air it's family has been partially submerged it for a while now. It is able to move on to land, and feast on insects there, completely safe from predators, and yet still return to the water to mate.
And so on...

well nothing can be proved but if a fishes gills could be proped up somehow they could work as lungs of some form, though remember sea creatures dosn't necesarily mean fish bacteria can live pretty much anywhere and don't have any lungs at all
