Would you have to reformat? or is it simple like take out the old graphics card and put in the new one..then install the drivers from the CD?

If you want to have the cleanest upgrade experience possible you should boot your computer (with the old card still installed) in to safe mode. Once the machine has booted go to the Device Manager and right click on your graphics card and uninstall it. Power the machine down and replace the cards. Power the machine back up. If your computer has the Nvidia PhysX drivers installed they wont be removed when you uninstall the original card. I'd uninstall these too. Then just install the latest drivers for your new card and you're done.

If the new video card is the same brand as your old one (nvidia to nvidia, for example), and you are using the reference drivers from the nvidia site, then you don't even need to remove the drivers. Just shut down, remove the old card, put the new one in, then boot up. The reference drivers from nvidia support a whole range of video cards, so the new card will have the drivers installed automatically.
