hanging then restart

I've been having the weirdest problem with my computer that I have built. It just recently started to freeze up no matter what i would be doing, wether it be playing a game, surfing the web, or just leaving it on doing nothing. When it freezes it will just sit for awhile and then after 4 or 5 mins it will restart, power does not go off or anything. However when i try to get into the BIOS the computer shuts down for a couple of seconds then turns back on. I just want to make sure that its the motherboard that is bad before i go out and spend the money to replace it. What do you guys think?

AMD Athlon(tm) II X2 250 Processor (2 CPUs), ~3.0GHz

6 gigs of kingston ddr3 ram

500 gig WD HDD

Nvidia gt220

windows 7

Asus M4A77TD

Check if your ram is placed correctly, remove it and blow away any dust, place it back in firmly. That's all I can think of, if that doesn't work I hope someone else can help you. The BIOS problem sounds weird though.
