Right now im running on:

Intel Pentium D CPU 3.0GHz, 2GB Ram, ATI Radeon HD3450, Vista 32-bit

What should I upgrade, and to what, to be able to play for example CoD4 with smooth, high FPS. Right now I can't even play it 'cause its laggy as crap.

Willing to spend lots of $ on best upgrades!

Thanks in advanced!

whats your motherboard? if it can handle a core 2 duo then get either 8400, or core 2 quad 9550. if not then i would suggest a core 2 duo capable motherboard to upgrade i recommend asus as a company get either ( x38 ) or ( x48 ) chipset one, 2gb ram is alright. and a Ati HD 4850 for good price and bang for ya buck, will play cod4 on max.

If your motherboard supports Core2 Duo, get one. Otherwise get a new motherboard AND a Core2 Duo. Then save up for a better video card.

You could also upgrade Windows Vista to Windows XP. = )

.....Not Cool =[ Vista is awesome. If he plans on getting 4GB he should get Vista 64.

The cheap upgrade would be the graphics card itself, although I'm not sure if your power supply is up to it.

Your most immediate bang for the buck is going to be either the RAM or the video card. 2gb should be fine for RAM, but since you are running Vista (and ram is dirt cheap), I think you'll notice a decent performance jump going to 4gb. Your video card is middle of the road at best, a solid card would also give you decent and noticeable performance increases.
