Vivendi merges with Activision in $18.9B deal

Game industry sees paradigm shift as number two and number three independent game publishers ally to form "Activision Blizzard"; Vivendi to control 52 percent stake.

For years, Electronic Arts has been the largest third-party publisher on the planet. No longer. Two days after EA's CEO said game-industry mergers were winding down, the biggest such union in history was announced. Today, Vivendi Games and Activision declared they were joining forces in a deal valued at $18.9 billion to create the world's biggest independent game publisher. The new company, called Activision Blizzard, will remain publicly traded on the NASDAQ market in New York under the symbol ATVI.

Under the terms of the deal, French media conglomerate Vivendi SA will contribute the entirety of its Vivendi Games subdivision--worth $8.1 billion--as well as $1.7 billion in cash for a 52 percent controlling stake in Activision Blizzard. Once the deal is approved, Activision Blizzard will offer holders of Activision's 146.7 million shares $27.50 for each share--a 31 percent premium over the 20-day average closing price.

If the union is approved by US regulators, Activision Blizzard's estimated $3.8 billion in annual revenue will eclipse EA, which expects $3.35 to $3.65 billion in net revenue for its 2008 fiscal year. It will also put many marquee game franchises--Call of Duty, Tony Hawk, F.E.A.R., Diablo, StarCraft, Warcraft, and World of Warcraft--under a single roof. It will also give Activision's Guitar Hero franchise direct access to the library of Vivendi's Universal Music Group, the world's largest record label.

Because the deal calls for the melding of Activision and Vivendi management teams, both were publicly pleased. "This alliance is a major strategic step for Vivendi and is another illustration of our drive to extend our presence in the entertainment sector," said Vivendi CEO Jean-Bernard Levy. "By combining Vivendi's games business with Activision, we are creating a worldwide leader in a high-growth industry."

Activision CEO Bobby Kotick also gave the union his blessing. "This is a pivotal event in the continuing transformation of the interactive entertainment industry," he declared. "By combining leaders in mass-market entertainment and subscription-based online games, Activision Blizzard will be the only publisher with leading market positions across all categories of the rapidly growing interactive entertainment software industry and reach the broadest possible audiences."

This will only lead to job cuts in both companies, thus leadin to loss in creativity. Aleast now hopefully EA will wake up and start making better games since it got some decent competition.

I've been so sick of EA and their mediocre games. Hopefully they'll realize that they have to start making good games again in order to compete with Activision Blizzard. On the other side, hopefully Activision Blizzard will make it a point to make such great games to crush EA under their mighty boot! Anyways, as long as World of Warcraft isn't screwed up, I think this will be a great thing for the gaming world. :)

petervaht i think i am in the same boat at you with this one... I see this as being bad for the game industry as a whole. If smaller studios want to join up to create alliences to fight against EA, that is one thing, but to actually have a merger is just setting things up to create a second EA... Bad news for the game industry over the next 10 years in my opinion... It might not be bad short-term, but long term this will kill the industry as a whole just like EA has... --- Games for gamers, not money!

Horrible news, so now there will be even less smaller publishers. This isnt about pushing the art of video games but to get even more rich. Very very sad, this only hurts the industry.

This could be amazing, provided they don't dilute what makes each of them good on their own. Game devs need to keep the small in-house feel, but having the resources of a giant conglomerate to draw on is never a bad thing. Guitar Hero alone will be getting a huge boost from that access to Universal. Good move.

Why did you list all of Blizzard's games, Tor? As if we can look forward to new installments in all those franchises within the near future. Which, btw, World of Warcraft is APART of the Warcraft franchise. Woulda figured the 'Warcraft' bit might have tipped you off. Oh, and the SINGLE other VUG franchise you mentioned, FEAR, is pretty much over for them. You know, VUG does publish other games besides crappy FEAR expansions and Blizzard games.

This is actually a very bad thing. They're going to overshadow tons of other companies and really hurt the gaming market. Look at the power they're going to have, those are two huge names for many things beyond just gaming. When these companies monopolize independent gaming, don't look at me.

wow hopefully this will improve the quality of games my biggest worry is that blizzard section of vivendi is only effected in a positive term and keep churning out high class games that will be cool having all the those franchises under one company allowing for more resources which should improve game quality this should be a positive announcement lets hope

Interesting....and out of NOWHERE, were there any preliminary reports about this at all? So does that mean Activision and all its sub properties will also be activision/blizzard (thank goodness they used blizzard, and didnt just umbrella it to Activision/Vivendi)....hmm that may just be the push i need to apply for a job at Activision value, i really didnt want to work there, but options are slim in MN and if they become a Blizzard company, i might be able to stand it for the interim.

Not that this would efer happen, but it seems like it would be more likely that EA would merge with Ubisoft than with Vivendi. Come to think of it, this might actually be awesome, (IMO) Activision and Vivendi have some of the best titles around, but now they can pool their resources to make even better titles.
