EA buying BioWare/Pandemic for $860M

[UPDATE] Superdeveloper scooped up by megapublisher for a staggering sum, deal to close in January; deal covers 10 IPs, including Mass Effect, Mercenaries, and unnamed Wii and DS games.

A week jam-packed with Nintendo news was overshadowed today by an announcement that sent shockwaves through the North American game industry. Thursday afternoon, top publisher Electronic Arts announced that it will acquire VG Holding Corp., owner of BioWare/Pandemic.

VG Holding Corp. was formed in late 2005 when esteemed Canadian role-playing game studio BioWare formed the aforementioned "superdeveloper" with Californian shop Pandemic Studios. The union was funded by Elevation Partners, a venture capital firm with rock star Bono on its board, and brokered by then-Elevation board member John Riccitiello, who became BioWare/Pandemic's CEO.

At the time, the deal was seen as a break from the traditional developer-publisher relationship, which sees the former beholden to the latter for funding. However, when Riccitiello returned to his old job as EA CEO, many wondered if the move might presage a takeover bid of BioWare/Pandemic. These suspicions were further raised when EA agreed to distribute the Pandemic shooter Mercenaries 2: World in Flames under its EA Partners program.

When the BioWare/Pandemic deal was announced, Elevation made much of the fact the union represented a "combined investment" of more than $300 million, including future funding. Today, the company got a massive return on said investment, with EA paying $620 million in cash to the stockholders of VG Holding Corp. In addition, the publisher will issue an additional $155 million in equity to unidentified VG Holding employees, as well as assume $50 million in outstanding VG stock options, and will lend VG $35 million to fund the transition.

In return for paying a princely sum, EA becomes the owner of both BioWare's and Pandemic's original properties. Jade Empire, Mass Effect, and Dragon Age are among BioWare's original IP, which does not include such licensed hits as the Dungeons and Dragons-based Neverwinter Nights, Star Wars: Knights of the Old Republic, or the DS Sonic RPG. BioWare is also working on an unnamed massively multiplayer online role-playing game. Pandemic is best known for the Full Spectrum Warrior and Mercenaries series, as well as the THQ-owned Destroy All Humans! and LucasArts-owned Star Wars: Battlefront franchises.

However, EA was relatively cagey about which BioWare/Pandemic games will become EA properties. The announcement only mentioned one BioWare (Mass Effect) and two Pandemic games (Saboteur, Mercenaries) by name. However, it did say the two studios have "10 franchises under development, including six wholly owned games."

Pending regulatory approval, EA's takeover of BioWare/Pandemic will be final on January 2008. Both studios will become part of the EA Games division, run by Frank Gibeau, with Greg Zeschuk and Ray Muzyka continuing to run BioWare, and Andrew Goldman, Josh Resnick, and Greg Borrud staying in charge of Pandemic. The two studios employ 800 people in Los Angeles; Austin; Edmonton; and Brisbane, Australia.

[UPDATE] In a conference call with analysts after the announcement, EA executives shed some light on the motivation behind the deal. Besides the impeccable pedigree of both studios, Riccitiello said that the "acquisition fills out a gap in [EA's] genre lineup," specifically the role-playing and action adventure markets. The executive also cited BioWare's forthcoming MMORPG as a huge opportunity for "further expansion into the MMO space."

Although the implication is that the BioWare MMORPG is an original IP, Riccitiello and his associates steered clear of saying so specifically. He did say that the deal will make EA the owner of the Mass Effect, Jade Empire, Mercenaries, Full Spectrum Warrior, and Saboteur properties. The executive also said that EA "expect[s] to bring 10 franchises to market in the next few years; six of which are wholly owned." [UPDATE 2] No mention was made of Dragon Age but BioWare reps confirmed with GameSpot that the little-seen title is moving forward in development, and is already in playable form.

Later, Gibeau said that number includes "many titles that have not yet been announced that we will be announcing in the near future." These include "several unannounced titles that are targeted both at the Wii and DS." The two studios' combined operations are expected to yield around four or five games each year for the next three fiscal years.

On the financial side, EA CFO Warren Jenson said that that he expects games from the two studios to generate over $300 million in annual income during EA's 2009 and 2010 fiscal years. (EA's 2009 fiscal year begins on April 1, 2008.) He later said that number would increase once the BioWare MMORPG launches "in the back half" of that period.

Don't worry they'll dissolve Bioware in a few years when the crap Mass Effect sequel that EA made them rush turns out to be junk. Then ex-Bioware employees will start their own company. Seriously though, I am not amused. If anything I think this'll have negative effects on the Bioware games not to mention the brands they've created. Wouldn't be surprised if in time EA forces ports out of Mass Effect for every console in the last 20 years.

This is really bad news. If this continues there won't be anymore 3rd parties left to compete against EA. EA is so money grabbing nowadays that, they don't care if the products are unfinished or not well polished they shove it out the door anyway. When people stop buying the brand for lack of credibility, than maybe they'll stop rushing good games and stop ruining the credibility of the developers that they acquire. This is real bad news since I don't c EA retuning to a gaming company again instead of a purely corporate honchos. And on top of that it reminds me of Atari and the 1st video game crash.

I don't know how EA has too many money if they only make crappy half-made stinky games.... maybe they sell drugs or something like that... And bioware... money sluts, sluts for EA... what a sad day, MasEffect franchise (count on that, a new game every year.... sad, just sad.) will be a VERY crappy game now.

This is expected since I knew Bioware Corp. under VG banner (now sold to EA) in Jan 08. I just hope the franchise of Bioware employees stays and EA doesn't replace all Bioware employees with their EA employees.:/ Iffy350, the only way you can stop EA is STOP buying their EA gaming product or find some loophole EA is breaking the law or bypassing it behind the government back in secret. (Enron & Worldcom) for example. If 75% of all EA shareholders out of 25% of on board leave EA then EA will collapse and will be force to go bankrupty and sell EA and all their IP they owned. They would be bid out by other companies to buy EA like Microsoft for example or another companies.. EA only been around since 1980s. EA is really not a huge company. They might be around 30 billion company. They are actually controlled by stock holders investors and board of EA not just the CEO of EA, too. So since EA announced of buying Bioware/Pandemic for $860M and deal is done in Jan of 08. Just hope EA doesn't mess this up and leave it as it is and EA should NOT get involved, get any creative behind Bioware games. All EA should do is just publish and sell the game then thats all. They have a bad history of ruining games and turned out poorly in sales and aren't receiving any $$$ when their CONSUMERS talks about "should i buy it or not" question to other fellow players worldwide. I won't make judgement on this issues but I just hold out and wait for something new..

Better Yet I hope that alot of ther old staff at Bioware quits Bioware and starts another company, if they still own some of the money they made(i dont know how that works so im not going to act like i do)Then they make more games independently..........like Sakaguchi did when he Left Squaresoft and started Mistwalker..................yes, this is a dream of mine but not that far off from what could happen in reallity, think about it, they signed with pandemic which was a good move, but if I read it correctly the byeout was kinda forced on them, maby..........but ya know.........its still is all in my head.........or maby they will retire from gaming.........like me at 22 years old.

i'd like to agree with you all and say im disappointed in bioware and pandemic. but $860 million. that's a lot. i personally would sell out for a lot less. 50 bucks maybe.

Well, This means to me that more PC games are gonna have more distribution in my country that before, at least I hope so, since many EA titles had arrived before. But I wouldn't like the quality of games to be reduced (Please EA, don't make a mess)

EA is an evil, evil empire. It needs tp be stopped. I never thought awesome creative games like Saboteur would have an EA stamp on them. This is sad. But this probably means Mass Effect is coming out for PS3, PS2, PSP, Wii, DS, mobile phones, and maybe even Gizmundo...ok not Gizmundo

Wow... I've been looking forward to Mass Effect for some time and I hope this game continues on the path it was on before. I don't think anything crazy like EA is the devil or evil or whatever they are a publisher who is trying its best to be the dominant developer of video games. I really enjoyed "skate" and am curious to see how this relationship works out.

EA's motivation for buying these two developers is simple: make lots of money, as soon as possible. My bet is that they'll be pushing Bioware/Pandemic to churn out games to make up for that $860M.. What that means for the quality of the games, well, I guess that remains to be seen. Although to say EA has a good reputation in that respect would be an outright lie.

Mass effect is comming out in a little over a month. The game going the be FREAKN' gold in a week or so. There is no time for them to make Mass Effect multi platform so stop saying it.

EA ****s things up again. Guess Mass Effect is gonna be the only worthwhile game in the series now. Damn I wish Microsoft at least retained the rights to the series because they are publishing now the PS3 will probably see a Mass Effect 2 title in the future.

This could be a good think (long shot) or it could destroy the souls of the developers at Bioware and Pandemic (much more likely) My guess is, slow exodus of the talented devs to create their own studios or join Indie groups.

............................I Think I am going to cry, I really am just in aww, im not joking, Mass Effect is now EA owned, I HATE EA GAMES.........and what bobtheflounder said is right, I very dissapointed right now, am I never going to see another Bioware game? They are my favourite developers, not only that they are Canadian, my country..........I would have never thought,..................It throws me right off with buying Mass Effect, ONLY because of the dissapointment and total let down of this action..............ha.........Figures, in fact, I think this will be the last year I play video games...........the idustry is out of control, EA thank you, Pandemic, hey thanks man..................and Bioware..............well........

the deal dosnt go into affect till jan 08 so mass effect 1 will be fine guys, but 2 n 3, watch out :\. still dont get why u guys are pissed at EA, BIOWARE WAS THE ONES WHO SOLDOUT, they could of said no, we got good games to develop still.
