What is the difference here besides price?

So, I've been having issues with my os. I intalled it from one of my dad's disks, but it turns out that it had a limited number of uses and is was about to expire after a month. At the college, they sold upgrade disks for $20. Thinking that would solve the restration issue I bought one. It installed and gave me just another month. Now, I'm really frustated because all the os ANYWHERE on the internet, even stores that supposedly give students discounts don't even come close to the prices on newegg. So, my question is, what is the difference between these two other than $100 vs. $200?

OEM is 64bit only and gets bound to your motherboard (it's a joke really, you can swap mobos and call MS and fool the robot lady). The other one is the 32-bit/64-bit version that doesn't get bound to your motherboard.

Oh, quick question. Would I have to do a whole reinstall of my os? Or would I be able to just enter in the product key?

If it's the same version (Windows 7 64-bit with SP1 installed) then you just need to use the product code
